Services are intended for individuals and entities lawfully able to contract in Thailand. By using our services, you confirm you have full authority to instruct exdorali on behalf of any business you represent. We may refuse service where client instructions conflict with applicable law or our professional obligations.
Clients and users must be at least 18 years of age. If you are acting on behalf of an entity, you confirm you have the authority to bind that entity to these terms.
You agree to use exdorali services lawfully and not for fraudulent, criminal, or malicious purposes. We reserve the right to decline or suspend services where there is reasonable suspicion of unlawful activity.
Certain services, content, or engagements may be restricted by export, sanctions, or local regulations. We may limit access to services in jurisdictions where delivery would be unlawful or impracticable.

Account and access
Where access credentials or client portals are provided, you are responsible for maintaining the confidentiality of login information and for all activities under your account. Notify us promptly of any unauthorized access.
You warrant that information you provide is accurate and complete. Timely and accurate client information is essential for legal compliance and effective service delivery.
Protect account credentials and use available security features. We employ standard administrative and technical safeguards, but you must also maintain appropriate security controls on your side.
Accounts and access rights are personal and may not be transferred without our prior written consent. Professional services require verification of authority before changes are accepted.
If you suspect your account has been compromised, notify us immediately at the contact details provided. Prompt notification helps mitigate risk but does not imply liability for any unauthorized actions prior to notification.
We may suspend access to services for non-payment, suspected fraud, or breach of these terms. Suspension is a remedial measure and does not waive any payment obligations.

Services and scope
exdorali provides legal advisory and transactional services to entrepreneurs, including contract drafting, corporate structuring, compliance review, regulatory advisory, and dispute preparation. Specific deliverables and fees are set out in engagement agreements. Advice provided on the website is for general informational purposes and should not replace tailored consultation.
Service scope, features, or pricing may be updated from time to time. We will notify existing clients of material changes in accordance with contractual commitments and applicable law.
We aim to make services available with professional diligence. Availability may be affected by resource limits, legal requirements, public holidays, or force majeure events. Where a matter requires urgent intervention, notify us in writing and seek explicit confirmation of availability.

User responsibilities
When using exdorali services and resources you agree to comply with the following rules aimed at preserving professional standards and security.
- Provide truthful, complete, and timely information necessary for the delivery of services.
- Respect confidentiality obligations and do not attempt to access restricted areas of the site or client portals without authorization.
- Use services only for lawful business purposes and do not submit content that is defamatory, fraudulent, or illegal.
- Cooperate with reasonable requests for documentation or verification required for compliance and regulatory checks.
- Make timely payments for invoiced services according to agreed terms to avoid suspension or termination of services.
- Do not interfere with or disrupt the operation of our services, systems, or network security.
- Report suspected breaches of security, confidentiality, or professional conduct promptly to our contact channels.

User content
You may provide documents, data, or other content to exdorali in the course of an engagement. Such content supports legal analysis and service delivery.
You retain ownership of user-provided content unless otherwise agreed in writing. You warrant you have the right to provide the content and that it does not infringe third-party rights.
By providing content, you grant exdorali a non-exclusive, revocable license to use, store, and process the material solely for the purpose of performing the agreed services, including secure archival for recordkeeping.
You are responsible for backing up original documents and for ensuring the accuracy of the information you provide. We rely on client materials when preparing advice and do not independently verify every factual assertion unless expressly agreed.
Requests to remove or return client materials will be handled in accordance with engagement terms, ethical obligations, and applicable retention rules. Certain records must be retained for regulatory or operational reasons.

Intellectual property
All intellectual property in content published by exdorali (site content, guides, templates) is owned or licensed by exdorali. You may use materials provided under specific license terms for your internal business purposes only and must not redistribute them without permission.
- Do not reproduce, modify, or publish exdorali copyrighted materials without written permission.
- Do not remove proprietary notices from materials supplied by exdorali.
- Respect third-party intellectual property rights when submitting materials for review or use.

Paid services and billing
Paid services are provided under separate engagement letters or invoices that will specify scope, fees, timelines, and deliverables. Payment and billing terms in the engagement document govern the commercial relationship.
Fees are calculated based on agreed hourly rates, fixed-fee engagements, or specific pricing schedules described in the engagement agreement. Fees do not include taxes, filing fees, or third-party costs unless stated.
Invoices are due on the terms specified in the engagement agreement. Accepted payment methods and instructions are set out on invoices or by prior agreement. Late payments may incur administrative charges as permitted by law.
If subscription services are offered, subscription terms will govern billing cycles, renewal, and cancellation. Clients will receive notice of any material changes to subscription terms.
Refunds, if any, are handled in accordance with the engagement agreement and applicable consumer protection laws. Refunds are assessed on a case-by-case basis and processed through the original payment method where feasible.
Either party may terminate an engagement in accordance with the termination provisions in the engagement agreement. Client obligations to pay for services performed up to termination remain in force.
Clients are responsible for applicable taxes in their jurisdiction unless otherwise stated. exdorali will charge and remit taxes where required by law in Thailand.
We may adjust pricing for services prospectively. Existing engagement agreements will govern fees for ongoing matters unless both parties agree to amend terms.
Non-payment may result in suspension of services, withholding of documents, or termination. We will use reasonable steps to resolve payment disputes before suspending legal representation.

Professional disclaimer
Information on this site and preliminary communications are for general informational purposes and do not constitute individualized legal advice. Engagement with exdorali becomes formal once a written engagement agreement is executed and any required retainer is received.

Limitation of liability
To the fullest extent permitted by applicable law, exdorali's liability for direct damages arising from services is limited to fees paid for the specific service giving rise to the claim. We are not liable for consequential, incidental, or punitive damages except where mandatory law provides otherwise.

Third-party services
We may rely on third-party providers for certain services (technology, filing, payment). While we select reputable vendors and contractually require appropriate safeguards, we are not responsible for third-party acts beyond our control.

Termination
Either party may terminate the engagement in accordance with the terms of the engagement agreement. We may also suspend or terminate services where continued engagement would breach professional duties or legal obligations.
On termination, outstanding charges become due. We will take reasonable steps to transfer files or transition matters as instructed, subject to receipt of outstanding fees and any legal or ethical retention requirements.

Privacy and data protection
We process personal data in accordance with the privacy notice available at exdorali.digital/privacy. Client confidentiality is a core professional obligation; personal and sensitive data are handled with appropriate technical and organizational measures.

Communications and notices
Notices and communications may be delivered through email, post to the registered address, or via client portals. Electronic communication carries risks; notify us of secure communication preferences for sensitive matters.

Changes to terms
We may revise these Terms of Service. Material changes affecting ongoing engagements will be communicated to clients with reasonable notice. Continued instruction following notice constitutes acceptance of the updated terms.

Governing law
These terms are governed by the laws of Thailand. Where matters permit, parties submit to the exclusive jurisdiction of courts in Phuket for resolution of disputes, unless an alternative dispute resolution mechanism is agreed in writing.

Dispute resolution
Parties will attempt to resolve disputes through good-faith negotiation. If unresolved, disputes will be handled in accordance with the governing law and forum provisions above. Where applicable, mediation or arbitration may be used by mutual consent.
